These Website Terms of Service are entered into by and between you and VEMOX SOLUCIONES TECNOLÓGICAS EMPRESARIALES S.A. de C.V. (hereinafter "Vemox", "MelioPlay", "we", "us", or "our"), except as expressly provided in Section 10a and Section 30 regarding certain Gift Card purchases by US-based cardholders.
For US Gift Card Transactions (as defined below), the contracting party for such transaction is MelioPlay Inc. (backed by Vemoxland Entertainment Inc.).
Except for such US Gift Card Transactions, these terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Service" or "Terms"), govern your access to participate in certain marketplace activities and use the platform to earn Rewards (as defined below), including any content, functionality, emails, text messages (SMS), online services, and mobile applications offered on or through MelioPlay (collectively, "Website"), whether as a guest or a registered user.
PLEASE READ THE TERMS OF SERVICE CAREFULLY BEFORE YOU START TO USE THE WEBSITE. BY USING THE WEBSITE OR BY CLICKING TO ACCEPT OR AGREE TO THE TERMS OF SERVICE WHEN THIS OPTION IS MADE AVAILABLE TO YOU, YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS OF SERVICE AND OUR PRIVACY POLICY, INCORPORATED HEREIN BY REFERENCE. This Website is offered and available to users who are 16 years of age or older. By using this Website, you represent and warrant that you are at least 16 years old and of legal age to form a binding contract with MelioPlay and meet all of the foregoing eligibility requirements. Participation on the Website is limited to only one (1) account per person and only one (1) account per household.

HOWEVER, ANY CHANGES TO THE DISPUTE RESOLUTION PROVISIONS SET FORTH IN GOVERNING LAW AND JURISDICTION WILL NOT APPLY TO ANY DISPUTES FOR WHICH THE PARTIES HAVE ACTUAL NOTICE ON OR BEFORE THE DATE THE CHANGE IS POSTED ON THE WEBSITE. Subject to all of the provisions of these Terms of Service, MelioPlay hereby grants you a limited, terminable, non-transferable, personal, and non-exclusive right to access and use the Website solely as set forth herein. You agree to use our Website only for the purposes permitted by these Terms of Service and any applicable law, regulation, or generally accepted practice in the relevant jurisdictions. For more details, see Section 16 (Use of the Website) and Section 17 (Restrictions and Prohibitions).
MelioPlay may offer one or more rewards programs ("Rewards Programs") under which you may have the opportunity to receive points (also referred to as coins, points, dollar amounts, or other credits/rewards, collectively, "Rewards") related to your participation in various games, advertising, content, surveys, and special offers (collectively, "Offers").
If MelioPlay offers a cashback program, the Cashback Terms apply in addition to these Terms of Service and will control in the event of a conflict.
You agree and acknowledge that unredeemed Rewards in your Account have no cash, monetary, or other value, remain the sole property of MelioPlay, and are only redeemable for the Redemption Prizes that MelioPlay chooses to offer.
You will receive Rewards by participating in various Offers. MelioPlay will deposit the Rewards for successfully completed Offers into your Account. Rewards are considered successfully completed once you have fully and properly met all Offer requirements and MelioPlay's tracking systems and/or its partners can validate your registration.
MelioPlay will not be responsible for awarding Rewards for any Offer that is not properly registered or tracked under MelioPlay's policies and/or its third-partner policies.
Redemptions and payments may be subject to identity and eligibility verification as described in Section 9, including a KYC process prior to your first payment/redemption.
Redemption Prize inventory may be limited and is awarded on a first-come, first-served basis. If a Prize is unavailable, MelioPlay may provide a Redemption Prize of equal or greater value at its discretion.
All redemptions are final. No refunds will be issued and no Rewards will be returned for any reason once redeemed. We reserve the right to temporarily withhold any offer credit for up to 90 days after an Offer has been completed.
MelioPlay reserves the right to verify your identity to our complete satisfaction before crediting or allowing the redemption of any Reward. We may do so by requesting a clear, valid, and legible photocopy of your passport, driver's license, or official ID, requiring you to verify the mobile phone number associated with your Account, or through any other proof of identity or eligibility we require. Refusal to provide the requested documentation is grounds for denying access to the Website or your Account.
Redemption Prizes are digital and delivered electronically to the email address associated with your Account.
Any account that has not been accessed for a period of one (1) year or more may be deemed inactive and closed. Prior to final closure, we will notify you at least thirty (30) days in advance by email to provide you with the opportunity to log in. Upon closure, any remaining rewards or balance will permanently expire.
We may adopt or modify our Rewards expiration policies from time to time, and if your Rewards expire pursuant to such rules, we may remove them from your Account without compensation or further obligation to you.
Any promotion offered on the Website will be governed by additional promotional terms. In the event of a conflict, the Additional Promotional Terms will control.
MelioPlay may offer a recurring promotional sweepstakes in which eligible users may receive free entries ("Tickets") for a chance to win prizes. Winners are selected at random and the sweepstakes is void where prohibited or restricted by applicable law.
MelioPlay reserves the right to invalidate Tickets or disqualify participants if it determines that Tickets were obtained through fraud, automation, bots, scripts, VPN/proxy misuse, or technical tampering.
You acknowledge and agree that you are responsible for any tax liability arising from your use of the Website and your participation in the Rewards Program. If required by tax authorities, we reserve the right to request information from you for tax reporting purposes.
It is a condition of your use of the Website that all the information you provide is correct, current, and complete. You are responsible for maintaining the confidentiality of your username and password and for all activities that occur under your account. We have the right to disable any account at any time in our sole discretion, including if we believe you have violated these Terms.
These Terms of Service permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, download, store, or transmit any of the material on our Website without authorization.

The MelioPlay and Nevaon name and logo are trademarks of the company.
If you believe that any User Contribution violates your copyright, please contact us immediately. It is MelioPlay's policy to terminate the user accounts of repeat infringers.
The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information.

Except for US Gift Card Transactions, these Terms are governed by and construed in accordance with the laws of the United Mexican States, excluding its conflict of law provisions. Any legal dispute shall be resolved before the competent courts in Mexico.
US Gift Card Transactions (managed by MelioPlay Inc. / Vemoxland Entertainment Inc.) are governed by and construed in accordance with the laws of the corresponding State in the US, as applicable to the jurisdiction of the registered entity.
UNLESS PROHIBITED BY LAW, ANY CAUSE OF ACTION YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, IT IS PERMANENTLY BARRED.
No waiver by MelioPlay of any term shall be deemed a further or continuing waiver. If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent, and the remaining provisions will continue in full force and effect.
The Terms of Service, our Privacy Policy, and any Additional Promotional Terms constitute the sole and entire agreement between you and VEMOX SOLUCIONES TECNOLÓGICAS EMPRESARIALES S.A. de C.V. (and its affiliated companies) with respect to the use of the platform.
